Are Electronic Signatures Legally Binding in Nigeria? E-Signature & Contracts Explained

## What Nigerian law says

The **Evidence Act 2011 (as amended in 2023)** expressly recognises electronic signatures and electronic records as admissible in court. Section 93(2) provides that where a rule of law requires a signature, an electronic signature satisfies that requirement. The **Companies and Allied Matters Act (CAMA) 2020** also permits electronic execution of documents and virtual meetings.

In practice, this means a contract signed electronically is just as enforceable as one signed with a pen — provided you can show **who** signed, **what** they signed, and that the document was not altered afterwards.

## What makes an e-signature reliable

- **Identity** — the signer is identifiable (email, phone, or account verification)
- **Intent** — the signer clearly intended to sign (clicking "Sign", drawing a signature)
- **Integrity** — the signed document cannot be silently modified afterwards
- **Audit trail** — a record of when and by whom the document was signed

## When to still use wet-ink signatures

Some documents have special formalities — for example, documents requiring notarisation, certain land instruments requiring Governor's consent, and wills. For everyday commercial agreements (service contracts, NDAs, employment offers, supplier agreements), e-signing is valid and dramatically faster.
